HKVCA is the co-organizer of the AFF Deal Flow on the 2nd day of the forum. This is the 3rd year we are co-organizing the Deal Flow Session with the Hong Kong Trade Development Council (HKTDC).
AFF Deal Flow is one of the key AFF 2011 networking opportunities which will enable participants to meet with potential business partners from different parts of the world. It allows private equity and venture capital firms, intermediaries, funds and transaction support professionals to establish new business contacts and negotiate deals through pre-arranged meetings with potential partners on a one-on-one basis. Over the past two years, more than 150 companies from 20 countries and regions have engaged in AFF Deal Flow* with discussions of deals each ranging in value from US$5 to 100 million.

The Changing Regulatory Landscape
Over the last two years, there has been an incessant flow of new regulatory initiatives, largely as a response to the recent global financial crisis. The coming of the new year will mark the arrival of some key changes and a phase of ongoing origination, consultation and implementation that is set to continue for years ahead.
Advisers Act Registration and Reporting Under Dodd-Frank: Additional Guidance for Non-U.S. Private Fund Investors
The U.S. Securities and Exchange Commission (the “SEC”) recently proposed rules interpreting, among other things, exemptions from registration for (i) foreign private advisers (ii) advisers to private funds with less than $150 million in assets under management in the U.S., and (iii) advisers solely to venture capital funds which were introduced by the Dodd-Frank Wall Street Reform and Consumer Protection Act of 2010. The SEC is seeking comments to the Release, and therefore the exemptions provided therein are subject to change. All comments to the Release must be submitted no later than January 24, 2011.

With the support from O’Melveny & Myers LLP HK and Washington offices, an urgent briefing was called to alert HKVCA members of the far reaching consequences on the new regulations, and necessary action to be taken by Asian PE firms collectively. Discussion topics covered who will be caught by the rule suggested in SEC draft, what the consequences will be for those affected, next steps in the regulatory process and areas where HKVCA members wanted to provide input to SEC. It was attended by 20 members.

The HKVCA's Young PE Professionals in Asian Private Equity subcommittee was formed in Sept 2010. Their first event was held on Dec 16 at Lan Kwai Fong with the aim to provide a platform for young professionals of PE to meet their peers in the sector. The event attracted a large crowd of 60 young members and professionals related to PE / VC industry.
