COMING EVENT
Private equity fund terms have been of particular interest given the recent rapid growth of private equity in the Asia Pacific region.  Following the release by the International Limited Partners Association (ILPA) of the ILPA Private Equity Principles in September 2009, Squadron Capital undertook a survey of a sample of Asian private equity funds launched during the past two years and open to investment by international institutional investors, to see how their terms and conditions compare to the ILPA's view of global best practice.  The talk will provide a snapshot of some of the current hot topics in private equity in Hong Kong and elsewhere within the Asia Pacific region, including the level of management fees and management fee offsets, no-fault divorce provisions, and the ability of private equity funds to invest in PIPEs.

The Hong Kong Business Angel Network (“HKBAN”), a network that has been promoted by Hong Kong Science and Technology Parks in conjunction with the technology transfer offices of the major universities in Hong Kong.  HKBAN seeks to establish a platform through which any one can access pre-registered angels. HKVCA is a founding member and a facilitating entity to encourage the funding and development of young businesses in Hong Kong.

The next pitching session is scheduled in early Jun 2010. HKVCA is now soliciting the registration of angels who invest in seed and early stage opportunities raising up to HK$5,000,000. We are requesting members to consider appropriate colleagues, friends and investment partners who might be appropriate as angel investors. Tax issue

Holding Structure for Outbound Direct Investment from China
According to Chinese Ministry of Commerce (MOFCOM) data, in the first 2 months of 2010, Chinese investors set up 693 overseas enterprises in 89 foreign countries and jurisdictions, with MOFCOM approval. The outbound direct investment (ODI) in these enterprises amounts to US$4.66 billion, and demonstrates rapid growth, as it already exceeds the ODI for the first quarter of 2009.

PRC Non-resident Enterprise Tax : Beneficial Ownership & Indirect Disposals
This article discusses the principles that appear to underlie the recently introduced tax circulars of the State Administration of Taxation, and will also address the major issues and potential risks areas for investors, as well as some possible solutions or remedial actions that investors could consider to adopt in order to navigate through this increasingly complex area of China tax law.

The Monetary Authority of Singapore (MAS) has released its long awaited Consultation Paper on its review of the regulatory regime for funds management firms, including exempt fund managers. The focus of this Update is on the proposals for alternative funds managers who currently operate as exempt fund managers, including hedge fund managers and VC/PE firms.
